1. Agreement
These terms govern your use of services provided by Tokenopti, Inc. dba Understudy. If you use Understudy for an organization, you represent that you have authority to accept these terms for that organization.
If you have a signed agreement or order form with us, that agreement controls where it conflicts with these terms.

Understudy Labs is the public operating name for Tokenopti, Inc. dba Understudy.

3. Early access service
Understudy is currently an early-access service. Today it operates in BYO mode: you bring your own upstream model-provider accounts, API keys, and provider terms.
The service may include a website, app, gateway, proxy, workbench, SDKs, CLI, APIs, eval tooling, routing interfaces, documentation, and related support.
There is no service-level agreement during early access. We may change endpoints, features, limits, or workflows with notice when practical, especially to improve security, reliability, or provider compatibility.
4. Your responsibilities
You are responsible for your accounts, API keys, credentials, provider relationships, users, systems, prompts, outputs, datasets, evals, and use of any models or artifacts.
You must protect upstream provider keys and only connect keys that you are authorized to use. The upstream provider relationship is between you and that provider, not between Understudy and the provider on your behalf.
You are responsible for reviewing outputs and model behavior before using them in production.
5. Acceptable use
You may not use Understudy to violate law, abuse systems, bypass access controls, send malicious traffic, infringe rights, or breach upstream provider terms through our gateway.
You may not reverse engineer, overload, interfere with, or attempt unauthorized access to the service.
6. Data and providers
You retain ownership of the prompts, outputs, traces, datasets, evals, labels, model artifacts, and other materials you provide or create through the service.
You give us permission to process those materials only as needed to provide the service, perform work you request, troubleshoot, secure the service, comply with law, enforce these terms, and improve your products, workflows, and use of Understudy.
We do not use one customer's prompts, outputs, traces, datasets, evals, labels, model artifacts, or other customer payloads to train, fine-tune, evaluate, or improve models for another customer.
We may use aggregated or de-identified operational signals across customers to improve Understudy's reliability, safety, routing quality, latency, cost controls, and product workflows, so long as those improvements do not disclose or reproduce a customer's confidential payloads.
Zero data retention commitments are described at understudylabs.com/zdr. For customer-authorized training, fine-tuning, evaluation, labeling, or model-improvement projects, ZDR applies after the agreed training window closes unless a signed order form, statement of work, or security addendum says otherwise.
Subprocessors and infrastructure providers may include WorkOS for authentication, Cloudflare for edge networking and planned Workers, KV, or D1 infrastructure, Vercel for website and application hosting, Anthropic and OpenAI for upstream model APIs you choose to route to, and Fireworks AI for model hosting, inference, fine-tuning, or related model operations where enabled.
7. Fees
If you buy paid services from us, the price, payment terms, usage limits, and billing details will be set out in an order form, invoice, checkout page, or written agreement.
Unless otherwise agreed, your upstream provider charges are your responsibility.
8. Termination
You may stop using Understudy at any time. We may suspend or terminate access if we believe your use creates security, legal, operational, or provider risk, or if you violate these terms.
After termination, you must stop using the service and pay any outstanding amounts.
9. As-is service
Understudy is provided as is and as available during early access. We do not guarantee uninterrupted operation, compatibility with every provider, output accuracy, model quality, or fitness for a particular use case.
To the maximum extent permitted by law, we disclaim implied warranties including merchantability, fitness for a particular purpose, and non-infringement.
10. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, goodwill, or data.
Except for amounts owed, misuse of intellectual property, or liability that cannot be limited by law, each party's aggregate liability will not exceed the amounts paid or payable to us for the service giving rise to the claim in the 12 months before the event giving rise to liability.
11. Governing law
These terms are governed by the laws of the State of Delaware, without regard to conflict of laws rules.
